Job Overview

HNB General Insurance Limited is seeking a proactive and detail-oriented Senior Executive – Company Secretarial and Regulatory Reporting to join its Legal & Compliance Division. The successful candidate will support company secretarial functions, regulatory reporting requirements, statutory compliance, and corporate governance activities while ensuring adherence to legal and regulatory frameworks.

Key Responsibilities

  • Assist the Company Secretary in ensuring compliance with the Companies Act No. 7 of 2007 and other applicable regulatory requirements.
  • Maintain statutory registers, records, and company documentation.
  • Prepare and lodge statutory forms and returns with the Registrar of Companies within prescribed timelines.
  • Monitor compliance deadlines to ensure timely filings and disclosures.
  • Coordinate Board and shareholder meetings by preparing notices, agendas, minutes, resolutions, and related documentation.
  • Liaise with regulatory authorities, auditors, and internal departments regarding compliance matters.
  • Ensure proper custody and maintenance of company records, minute books, and the common seal.
  • Monitor transactions for regulatory threshold reporting requirements.
  • Ensure accurate preparation, submission, and record-keeping of regulatory reports.
  • Review transaction data and supporting documents to strengthen compliance procedures and internal controls.

Qualifications & Experience

  • G.C.E. Advanced Level (A/L) qualification.
  • Completed or partially completed Company Secretarial course.
  • 1–5 years of relevant experience in a similar role.
  • Basic knowledge of business practices and legal/regulatory frameworks.
  • Experience in company secretarial functions and regulatory compliance will be an advantage.
